Securitization - Transfer of Assets
The firm's Securitization - Transfer of Assets Department is one-of-a kind. The department is designated for the exclusive purpose of conducting loan review of commercial mortgage loans offered for securitization or for sale to a third party. The purpose of the loan review is to determine the condition of the “Mortgage File” as described in the applicable Purchase and Sale Agreements. The department is well known in the CMBS industry as being the leader in Mortgage File due diligence and for the preparation of the necessary documents and assignments to transfer title of the mortgage loans placed into securitization or otherwise sold to a third party.
To provide the necessary technology to support this department, the firm also developed a technology application for the purpose of: (1) capturing legal data during due diligence, including identifying the condition of loan documents, critical loan document defects, title review and exceptions; (2) increasing operational efficiencies in preparing, recording and tracking assignment documents; and (3) interfacing with and providing reports and data tapes to clients, custodians and trustees.
The firm, under the direction of Vanessa Orta, is utilizing the data base for a 16,000 commercial mortgage loan project for Wells Fargo Bank, N.A. and for an 8,000 commercial loan project for Bank of America, N.A. These projects involve on-site loan file review, assignment document preparation, nationwide recording, tracking and document management. AM&O also utilized a version of its data base system for legal due diligence, assignments, document exceptions and management for several of the 600 plus CMBS loan pools the firm has handled.
